Texas sales-tax nexus: separate your locations, channels and responsibilities
A growing business can sell into Texas through its own website, a marketplace, employees and several physical locations. Asking whether “Texas tax is handled” is too broad. A useful review establishes which seller, activity, sales channel and tax responsibility each answer concerns.
This guide helps substantial business owners define the work for a tax professional. FSI's owner audience is personal annual income before tax of at least $500,000, preferably $1 million or more. That qualification is unrelated to a remote-seller revenue test or the company's profit.
Establish whether the remote-seller category fits
The Comptroller describes remote sellers as out-of-state sellers whose only Texas activity is remote solicitation. Its guidance distinguishes physical presence from that category. Business premises, representatives, inventory and other operating facts can require their own analysis. [1][2]
Prepare a location-and-activity summary before asking for a threshold calculation. Identify where the business operates, where people work, who owns inventory and how Texas orders are taken and fulfilled. A mailing address alone does not describe the complete operation.
Ask the professional which nexus questions are included in the engagement, which states they will investigate and what changes should trigger a new review. This guide does not determine nexus for your business or apply a safe harbor to a particular transaction.

Treat marketplace and direct sales as separate workstreams
The Comptroller's remote-seller and marketplace FAQ distinguishes marketplace providers, marketplace sellers and remote sellers. A business can occupy more than one role. The FAQ also discusses the importance of a marketplace provider's certification about collection responsibilities. [2]
An owner should be able to show which sales run through a provider and which are made directly. Ask who will read the provider agreement, reconcile channel reports and identify any responsibilities remaining with the business.
Build a channel responsibility record
| Channel or activity | Information to put in front of the adviser |
|---|---|
| Marketplace sales | Provider identity, collection certification and settlement reports |
| Own website | Seller entity, products or services, customers and collection settings |
| Physical premises | Actual activities, people, inventory and relevant dates |
| Events or representatives | What happened in Texas and who acted for the business |
| Returns and refunds | How adjustments appear in sales records and tax reporting |
This is a scoping record. It does not decide whether a transaction is taxable, establish a permit exemption or prove that a platform's settings are correct.
Check what the records actually explain
The Comptroller says sellers, including marketplace participants, must retain required records. Its FAQ identifies total gross receipts from sales and purchases among the records and specifies a minimum four-year retention requirement for the covered sales-tax records. Other records and jurisdictions can have different requirements. [2]
Ask whether marketplace statements, payment-processor deposits and the accounting records can be reconciled. Identify refunds, platform charges, inventory movements and direct sales that do not appear in the same report. A deposit total should not be used as a complete explanation of every transaction.
If the professional also prepares business and owner returns, establish how the reconciled sales figures reach that work. Sales-tax collection, franchise reporting and the owner's federal income-tax position are different assignments.

Keep permits and ownership changes visible
The sales-tax permit FAQ describes permit-holder and address limitations and explains that changes in ownership can require a new permit. It also discusses when an active place of business needs a permit. Those rules must be read with the actual business and transaction facts. [3]
Before an acquisition or entity change, ask who will investigate the permits and account changes, who communicates with the Comptroller and when the operational team needs a confirmed instruction. Do not assume a seller's permit transfers merely because a website, stock or trading name continues to be used.
Local tax collection needs its own review. The Comptroller's local guide describes ordering, fulfillment and use facts, special situations and an enforcement qualification concerning some orders not received by sales personnel. A channel tax setting should not be approved using a broad state label alone. [4]
Compare the proposed professional engagement
Request a written scope identifying the states, entities, channels and periods under review. Ask whether the work ends with an analysis or includes registration, system changes, returns and checking the first implemented transactions.
For a hypothetical profitable brand adding direct sales after relying on a marketplace, the useful first assignment may be to map what changed. The owner needs to know which information is missing and who must act. That is different from assuming the platform has already resolved every obligation.
Agree how operational changes will be communicated afterward. New inventory locations, direct-sales channels or employees should not remain invisible until the next annual return is prepared.

Questions owners can ask about Texas nexus
If the marketplace collects sales tax, is the whole business covered?
That conclusion needs review. Marketplace collection relates to the transactions and responsibilities the provider covers. Direct sales, other activities, records and separate entity-tax obligations must still be identified. [1][2]
Can I use FSI's owner-income threshold as the sales-tax test?
No. Personal owner income and the revenue measures used in sales-tax rules are different. State the business's activities and relevant receipts separately so the professional applies the right test. [1][2]
What is the most useful initial inquiry?
Describe the seller entities, products or services, physical activities, channels and proposed expansion. Summarize the issue before sending account credentials or transaction files. Detailed records should move through an agreed secure process.
